1. Acceptance of Terms
By accessing and using Shipbaba ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform. These terms constitute a legally binding agreement between you and Shipbaba Ltd.
2. Description of Service
Shipbaba is a B2B wholesale marketplace that facilitates transactions between buyers and suppliers worldwide. We provide tools for product discovery, supplier communication, order management, and payment processing. Shipbaba acts as a facilitator and is not a party to transactions between buyers and suppliers.
3. Account Registration
You must create an account to use certain features of the Platform. You agree to provide accurate and complete information and to keep this information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must be at least 18 years old and authorized to conduct business on behalf of your company to use the Platform.
4. Buyer Obligations
As a buyer, you agree to:
- Provide accurate shipping addresses and business information
- Pay for orders in full and on time as agreed with suppliers
- Comply with all applicable import regulations and customs requirements
- Not use the Platform for illegal purposes or to purchase prohibited goods
- Communicate professionally and in good faith with suppliers
5. Supplier Obligations
As a supplier, you agree to:
- List only products you are legally authorized to sell
- Provide accurate product descriptions, specifications, and pricing
- Fulfill orders as described and within stated lead times
- Maintain required business licenses and certifications
- Comply with applicable export regulations
6. Fees and Payments
Buyer accounts are free. Shipbaba charges suppliers a commission on completed transactions (rates disclosed in the Supplier Agreement). Payment processing fees may apply. All fees are exclusive of applicable taxes.
7. Dispute Resolution
Shipbaba provides a dispute resolution mechanism for transactions conducted through the Platform. Disputes must be opened within 30 days of delivery. We will act as a neutral mediator and may require documentation from both parties. Our decision is final and binding for Platform-facilitated transactions.
8. Intellectual Property
The Shipbaba name, logo, and all related marks are trademarks of Shipbaba Ltd. You may not use our trademarks without written permission. You retain ownership of content you upload, but grant Shipbaba a license to display it on the Platform.
9. Limitation of Liability
Shipbaba is not liable for the quality, safety, legality, or availability of products listed on the Platform. Our total liability for any claim arising from your use of the Platform shall not exceed the greater of (a) the fees paid by you in the 12 months preceding the claim or (b) $1,000 USD.
10. Termination
Either party may terminate the agreement at any time. We reserve the right to suspend or terminate accounts for violation of these Terms, fraudulent activity, or for any reason with 30 days notice. Upon termination, outstanding transactions will be completed or refunded according to their status.
11. Governing Law
These Terms are governed by the laws of the Republic of Turkey, without regard to conflict of law principles. Disputes shall be resolved by the Istanbul Arbitration Centre (ISTAC).
